Senior Legal Counsel
Work location: Houston, TX
Roster: Monday to Friday
KEY RESPONSIBILITIES:
- Provide high quality, effective legal advice supporting all aspects of the company’s US project development, technology and manufacturing businesses.
- Draft and negotiate complex agreements including:
- joint development agreements, joint venture agreements, construction contracts, power purchase agreements, offtake agreements, equipment supply agreements, financing agreements, acquisition agreements, land-related agreements, confidentiality agreements, memorandums of understanding and term sheets;
- research agreements, co-development agreements and licensing agreements; and/or
- manufacturing agreements.
- Provide clients and project-management teams with ongoing, project-related advice and counsel on legal concepts, contract terms, corporate policies and claims.
- Advise clients on risk profiles of negotiated contracts.
- Collaborate with internal subject matter experts (e.g., Development, Technology, Finance, Compliance, etc.) and ensure compliance with company policies and preferences in connection with agreements and matters.
- Maintain corporate records and provide support for compliance with contractual obligations and applicable law.
- Coach and mentor junior level staff.
- Provide general corporate and commercial legal advice.
- Assist in day-to-day resolution of legal issues as they arise.
- Work with and effectively manage external counsel.
- Other tasks and projects as assigned.
SKILLS/REQUIREMENTS:
- Strong organizational skills and attention to detail and accuracy.
- Self-motived, disciplined, and able to work independently, with minimal supervision, but work collaboratively as needed.
- Ability to operate in a dynamic and fast-paced environment and handle a variety of projects, manage competing priorities, and coordinate multiple tasks simultaneously.
- Excellent problem-solving, analytical, and written and oral communication skills.
- Team player who works effectively with others at all levels and in all disciplines.
- Ability to take a commercial, practical solution approach to the provision of legal advice, appropriately balancing risk and employing sound judgment.
- Adaptability with company growth and evolution.
EDUCATION AND EXPERIENCE:
- Juris Doctorate and member of a bar in good standing in at least one U.S. state, preferably New York or Texas.
- 7-10 years of experience in project development, either in-house or at a major law firm.
- Strong preference for experience advising new energy or energy companies.
- M&A, technology and/or manufacturing experience is a plus.
- Experience managing outside counsel preferred.
- Moderate travel (<20%).
